SUPPLIER RULES AND RESTRICTIONS
Separate terms and conditions will apply to your booking of venues/events/services that you select. Please read those separate terms and conditions carefully. You agree to abide by the terms and conditions imposed by any supplier with whom you elect to do business, including, but not limited to, payment of all amounts when due and compliance with the supplier's rules and restrictions regarding availability and use of fares, products, or services. You acknowledge that some suppliers offering certain products, services and/or activities may require you to sign their liability waiver prior to obtaining or using said products or participating in the service and/or activity they offer. You understand that any violation of any such supplier's rules and restrictions may result in cancellation of your booking, in your being denied access to the applicable products, services, or activities, in your forfeiting any monies paid for such booking, and/or you being liable for any costs incurred, whether by us or by the supplier, as a result of such violation.

FEES AND SERVICES

Our Website is provided to assist potential customers, if any, in obtaining knowledge of any discounts for group events that businesses may advertise, to put such customers in touch with businesses they may be interested in, to assist such customers in obtaining offers from businesses that may be interested in hosting such customers' events, and to enable businesses to advertise their own customized deals ("deals"), for group events. The Website has no other purposes.

Browsing the Website and requesting information on specific suppliers is free. We may charge fees for other services. Unless otherwise stated, all fees are quoted in U.S. Dollars.

By submitting any information in any of our forms, you agree and acknowledge that Event Values will forward your information to suppliers who may or may not contact you to provide a discounted offer to you. You agree that you shall be liable for damages incurred as a result of submitting any unnecessary, speculative, false, or fraudulent information into any forms on this Website. While Event Values makes a good faith effort to assist you in receiving offers from interested suppliers, you acknowledge and agree that there is a possibility you may not receive any offers, whether it is due to the specific requirements of each supplier or other conditions or circumstances beyond the supplier's or Event Values' control. You acknowledge and understand that some suppliers may request additional information from you for your event prior to providing you an offer. You agree that you may receive telephone calls, emails, or other communications from these suppliers and that Event Values has no control over these suppliers or any such communications, which you may receive at any time, and in any manner. While Event Values may ask suppliers not to forward your information to any other party, you agree that Event Values has no control over how suppliers use your information. Thus, you agree to release Event Values from any claims associated with any such communication or with any use of your information whatsoever.

You acknowledge that you yourself must still book your event directly with the supplier and that any deals displayed on this Website or otherwise provided to you by any means from Event Values are provided directly to Event Values by the suppliers themselves. Event Values cannot and does not guarantee that the suppliers will honor the posted deals at the time of your event. Additionally, you acknowledge and agree that deals posted on this Website are subject to availability, additional taxes, gratuities, services charges, and other miscellaneous fees as may be required by each supplier.

You agree to pay any cancellation or change fees that you incur directly to the supplier(s) in accordance with your agreement with the supplier(s). You acknowledge that some suppliers do not permit changes to or cancellations of services of reservations after they are made. You agree to abide by all the terms and conditions imposed by the supplier(s) with respect to your prepaid event in accordance with your agreement with the supplier(s).

You acknowledge that Event Values does not collect taxes for remittance to applicable taxing authorities. The suppliers remit applicable taxes to the applicable taxing jurisdictions. We do not act as co-vendors with suppliers.

TRAVEL DISCLAIMER

Although most travel, including travel to international destinations, is completed without incident, travel to certain destinations may involve greater risk than others. Event Values urges passengers to review travel prohibitions, warnings, announcements and advisories issued by the United States Government and local authorities prior to booking travel to any destination.

EVENT VALUES DOES NOT REPRESENT OR WARRANT THAT TRAVEL TO ANY FEATURED SUPPLIER IS ADVISABLE OR WITHOUT RISK, AND IS NOT LIABLE FOR DAMAGES OR LOSSES THAT MAY RESULT FROM TRAVEL TO SUCH DESTINATIONS.

If, despite the limitation above, Event Values is found liable for any loss or damage which arises out of or in any way connected with any of the occurrences described above, then Event Values' liabilities will in no event exceed, in the aggregate, the greater of (a) the transaction fee assessed for your transaction on this Website, or (b) One-Hundred Dollars (US$100.00).

The limitation of liability reflects the allocation of risk between the parties. The limitations specified in this section will survive and apply even if any limited remedy specified in these terms is found to have failed of its essential purpose. The limitations of liability provided in these terms inure to the benefit of Event Values and/or its respective suppliers.

FORCE MAJEURE

Event Values shall not be in default or otherwise liable hereunder due to its inability to perform its obligations, if any, by reason of any fire, earthquake, flood, epidemic, accident, explosion, casualty, strike, lockout, labor controversy, riot, civil disturbance, act of public enemy, embargo, war, act of God, terrorist act, or any municipal, county, state, or national ordinance, or law, or any executive, administrative or judicial order (which order is not the result of any act or omission which would constitute a default hereunder) or any failure or delay of any transportation, power, or communications system or any other similar cause beyond its control.

INDEMNIFICATION AND RELEASE
You agree to release, defend, and indemnify Event Values and/or any of its officers, directors, members, affiliates, attorneys, employees, agents, and representatives from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature, including but not limited to any legal, accounting, and expert fees and court costs, brought by you and/or any third parties as a result of, concerning, regarding and/or arising out of:

     (a) the sending or receiving of any emails whatsoever;

     (b) any breach of this Agreement and/or the documents referenced herein;

     (c) your violation of any law and/or the rights of any such party(ies);

     (d) your breach of any agreement with any such party(ies);

     (e) your negligence, fraud, tort, criminal activity, and/or any other misconduct resulting in a cause of action against Event Values;

     (f) the failure to honor a valid booking or reservation for your

services and/or products;

     (g) any other use of our Website.

You release us (and our members, officers, directors, affiliates, agents, attorneys, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."

This Agreement is governed by the laws of the State of New Jersey, USA. In all disputes arising out of or relating to the use of this Website, the parties consent and submit to the exclusive jurisdiction and venue of either the United States District Court for District of New Jersey or the Superior Court of the State of New Jersey, and of these choices, wherever an action is first brought. Use of this Website is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including, without limitation, this paragraph.

You agree that no agency, joint venture, partnership, employment, franchise, or any other fiduciary relationship exists between you and Event Values as a result of this Agreement or use of this Website.

Our performance of this Agreement is subject to existing laws and legal process, and nothing contained in this Agreement limits our right to comply with law enforcement or other governmental or legal requests or requirements relating to your use of this Website or information provided to or gathered by us with respect to such use. To the extent allowed by applicable law, you agree that you will bring any claim or cause of action arising from or relating to your access or use of this Website within two (2) years from the date on which such claim or action arose or accrued or such claim or cause of action will be irrevocably waived. You also agree, that if a claim or cause of action is governed by a statute of limitations of less than two (2) years, you agree to bring such a claim or cause of action within said two (2) years.

A printed version of this Agreement and of any notice given in electronic form shall be admissible in evidence in any judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

Any and all rights, claims, and defenses not expressly granted herein are reserved.
